Anthropic's prospectus contains a large bill for computing. The S-1 document filed on October 26, 2026, says that between May and October 2026, Anthropic entered into and amended several agreements with SpaceX.AI LLC to access compute powered by NVIDIA GPUs, for an aggregate of up to $120.5 billion, with terms extending into 2029. SpaceX.AI LLC is a wholly owned subsidiary of SpaceX, formerly known as X.AI LLC. All of the contracted capacity is expected to be delivered in December 2026, when monthly payments will come to roughly $3.1 billion.
$120.5 billion is a ceiling, not a locked-in bill
The filing leaves an exit at the same time: the initial non-cancelable periods of the separate agreements end in January and March 2027, after which either party may cancel on 90 days' written notice. The $120.5 billion is therefore a contractual ceiling, not an amount Anthropic has already committed to pay in full. A footnote in the prospectus also puts Anthropic's fixed or minimum guaranteed purchase commitments at roughly $265.6 billion as of June 30, 2026, with terms running from one to 20 years.
The identity of the counterparty is worth noting. SpaceX's Grok model competes directly with Anthropic's Claude, so Anthropic is renting compute from a rival. For SpaceX, it is a business that turns its own GPU capacity into revenue. The filing also lists SpaceX alongside Microsoft, Nscale, and Lambda as cloud providers giving Anthropic access to NVIDIA GPUs, including Vera Rubin systems.
The delivery date is the next thing to watch
December 2026 is the first date on which delivery must happen as planned, and it will set the actual pace of this spending. For investors waiting on the pricing document, the size and flexibility of the compute bill matter as much as revenue growth in judging what Anthropic is worth. The number of shares and the price range are still undetermined, and no securities may be sold before the registration becomes effective.
